SWEEPSTAKES DESCRIPTION: As part of the Paramount Vantage Online Loyalty Program (the "Program"), Paramount Vantage ("Paramount") will conduct a monthly sweepstakes drawing (each, a "Sweepstakes") to randomly award prizes to those eligible persons ("Members") who have registered on the Paramount website -- www.paramountvantage.com (the "Website") -- and/or those eligible persons who have opted-in ("Opt-Ins") to receive the "Paramount Previews" Email Newsletter (the "Newsletter"). Each Sweepstakes will include those Members and Opt-Ins who have not effectively unregistered from the Website or otherwise opted-out of receiving the Newsletter before the cutoff time corresponding to the applicable Sweepstakes drawing. These Official Rules govern the Sweepstakes that are offered as part of the Program. If a contest, sweepstakes or other promotion on the Website has a set of Official Rules that apply specifically to that contest, sweepstakes or promotion, the terms of those specific Official Rules (as opposed to these Official Rules) will govern that specific Promotion. Entry into one Sweepstakes does not constitute entry into any other promotion, contest or sweepstakes. By accepting a prize in any of the Sweepstakes that are offered as part of the Program, each prize winner unconditionally accepts and agrees to comply with and abide by these Official Rules and the decisions of Paramount Vantage, 5555 Melrose Avenue, Hollywood, CA 90038-3197, ("Sponsor"), which shall be final and binding in all respects. The Sweepstakes are void where prohibited. Sponsor reserves the right to end the Program at any time, with or without notice, for any reason or no reason at all in its sole and absolute discretion.

ELIGIBILITY: The Sweepstakes are open to residents of the 50 United States and the District of Columbia who are Members and/or Opt-Ins (as applicable based on the eligibility criteria applicable to the Sweepstakes in question) 18 years of age or older as of the time of entry. Officers, directors, and employees of Sponsor and its parent, subsidiary and affiliated companies (collectively, the "Promotion Entities") and their immediate family members (mother, father, brothers, sisters, sons, daughters and spouse) and/or those living in the same household of any such officers, directors or employees, whether or not related, are ineligible to enter any of the Sweepstakes or win a prize.

WINNER NOTIFICATION: On or about the first day of each month, the potential winner(s) will be notified by e-mail at the address provided to Sponsor at the time he or she became a Member or opted-in to receive the Newsletter. Winner(s) will have 72 hours from the time of notification to accept a prize by following the prize claim instructions in the prize winner announcement e-mail. The Website's database clock will be the official timekeeper for each Sweepstakes. Sponsor shall have no liability for any winner notification that is lost, intercepted, not perceived or not received by the potential winner for any reason. If a potential winner does not respond within 72 hours of the initial notification, such potential winner will forfeit his or her prize and the prize will not be awarded. If any potential winner is found to be ineligible, or if he or she has not complied with these Official Rules or declines a prize for any reason prior to award, such potential winner will be disqualified and the prize will not be awarded. In the event of a dispute as to the identity of the prize winner, the prize winner will be deemed to be the authorized account holder of the e-mail account used to become a Member or Opt-In, provided such account holder must still meet the eligibility requirements for the Sweepstakes. The authorized account holder shall be the natural person to whom the applicable email address has been assigned by the Internet access provider, service provider, or other online organization responsible for assigning e-mail addresses for the domain associated with the submitted e-mail address. A potential winner may be requested to provide the Sponsor with proof that the potential winner is the authorized account holder of the e-mail address associated with the prize winner. If a dispute cannot be resolved to Sponsor's satisfaction, the affected prize winner will be deemed ineligible.

PRIZES/ODDS: One (1) Grand Prize, up to three (3) Second Prizes, and up to five (5) Runner-Up prizes are available in each Sweepstakes. The prizes that are offered in each Sweepstakes will be the prize(s) announced at or before the time when the potential winner is announced and/or on the Sweepstakes information page. Prizes pictured or described at or before the time when the potential winner is announced and/or on the Sweepstakes information page or otherwise are for illustrative purposes only. All aspects of prizes not set forth in the corresponding information page will be determined by Sponsor in its sole discretion. No cash alternative or substitution of prizes will be allowed, except Sponsor reserves the right in its sole discretion to substitute prize(s) of comparable value if any prize is unavailable, in whole or in part, for any reason. Odds of winning a Sweepstakes depend on the number of Members and Opt-Ins in Sponsor's database at the time of that Sweepstakes.

PRIZE RESTRICTIONS AND CONDITIONS:

a) General Conditions. Each prize winner is responsible for paying any federal, state and/or local taxes and for any other fees or costs associated with the applicable prize. Prizes will be delivered only to an address in the United States.

b) Travel Prizes. In connection with any prize that involves travel, the winner and his or her travel companion (if a companion ticket is part of the prize) must both be 18 years of age or older, or if the companion is a minor, the winner must be such minor's parent or legal guardian. All travel, hotel and other arrangements must be made through Sponsor, and the travel prize winner must be able to travel on the dates selected by Sponsor in its sole discretion If a winner is not able to travel on the dates specified by Sponsor, he or she will forfeit the applicable prize in its entirety and an alternate winner may be selected. Prize winners and their guest(s) must sign eligibility and liability release documents prior to any travel documents being released. Winner and guest(s) must travel together on the same itinerary and possess all required travel documents, including visas and valid passports, if and as applicable. Airfare does not include government taxes, Passenger Facility Charge or September 11th Security Fee. Airline tickets are non-refundable/non-transferable and are not valid for upgrades and/or frequent flyer miles. Prize winner(s) must comply with all hotel check-in requirements, including but not limited to the presentation of a major credit card. All airline tickets are subject to the vagaries of flight variation, work stoppages, and schedule or route changes. Sponsor reserves the right to structure travel route and select hotels in its sole discretion. If the closest airport to any prize winner's home is in close enough proximity to the destination city so that, as Sponsor may determine in its sole discretion, a flight is unnecessary, prize will not include air transportation from winner's residence to the destination city, and no other substitution or compensation will be provided in lieu thereof. Blackout dates apply. Changes not permitted after ticket issue. The ARV for travel prizes is an estimate made before the Sweepstakes begins and may vary depending upon points of departure and destination and fare fluctuations. The winner(s) will not receive cash or any other form of compensation if actual travel costs are less than the estimate made in these Official Rules. The round trip air transportation element for any travel prize begins and ends at the point of departure (unless otherwise specified herein). In the event a winner or his or her guest engages in behavior that (as determined by Sponsor in Sponsor's sole discretion) is obnoxious or threatening, illegal or that is intended to annoy, abuse, threaten or harass any other person, Sponsor reserves the right to terminate the trip, meet and greet, or other applicable experience early, in whole or in part, and send the winner and/or his or her guest home with no further compensation.

c) Electronics Prizes. In connection with any prize that involves consumer or other electronics, the ARV's of any electronics prizes listed are subject to price fluctuations in the consumer marketplace based on, among other things, any gap in time between the date the ARV's are estimated for purposes of the Sweepstakes and the date the prize(s) is(are) awarded or redeemed. If the actual purchase price of an electronics prize is less than the ARV or MSRP stated herein, the prize winner will NOT be entitled to a check, cash or other form of payment for the price difference.

d) Access Prizes. If any tickets or passes or the like are included in the prize, such tickets or passes are non-transferable and will be deemed void if sold, transferred, auctioned or assigned to any third person. Tickets and passes are subject to all terms and conditions generally applicable thereto. If the winner is allowed to invite a guest as part of the prize, winner and his or her guest must attend the same event. If the event listed in the prize description does not or cannot take place as scheduled or at all, for reasons including but not limited to scheduling conflicts, cancellations, postponement, an event of force majeure, or for any other reason, then in lieu of attending the event, the prize winner will receive $100, and such amount plus the remaining components, if any, of the applicable shall fully satisfy Sponsor's prize obligation to the winner, and no other or additional compensation will be awarded. In the event a winner or his or her guest engages in behavior that (as determined by Sponsor in Sponsor's sole discretion) is obnoxious or threatening, illegal or that is intended to annoy, abuse, threaten or harass any other person, Sponsor reserves the right to terminate the applicable experience early, in whole or in part, and send the winner and/or his or her guest home with no further compensation.

GENERAL RELEASE: Acceptance of a prize constitutes winner's permission for Sponsor to use winner's name, photograph, likeness, user name, voice, biographical information, statements and address (city and state) for advertising and/or publicity purposes worldwide and in all forms of media now known or hereafter developed, in perpetuity, without further compensation, unless imposing such condition is prohibited by law. Prize winners agree that the Promotion Entities shall not be responsible or liable for any losses, damages or injuries of any kind resulting from participation in the Sweepstakes or any Sweepstakes-related activity, or from prize winners' acceptance, receipt, possession and/or use or misuse of any prize. Sponsor assumes no responsibility for any damage to Member or Opt-In's computer system which is occasioned by accessing the Website, or for any computer system, phone line, hardware, software or program malfunctions, or other errors, failures, delayed computer transmissions or network connections that are human or technical in nature. Without limiting the generality of the foregoing, Sponsor is not responsible for incomplete, illegible, misdirected, misprinted, late, lost, damaged, or stolen entries or prize notifications; or for lost, interrupted, inaccessible or unavailable networks, servers, satellites, Internet Service Providers, websites, or other connections; or for miscommunications, failed, jumbled, scrambled, delayed, or misdirected computer, telephone or cable transmissions; or for any technical malfunctions, failures, difficulties or other errors of any kind or nature; or for the incorrect or inaccurate capture of information, or the failure to capture any information. Sponsor reserves the right in its sole discretion to disqualify any individual who is found to be tampering with the entry process or the operation of a Sweepstakes or the Website, to be acting in violation of these Official Rules, or to be acting in an unsportsman-like or disruptive manner, or with the intent to disrupt or undermine the legitimate operation of a Sweepstakes, or to annoy, abuse, threaten or harass any other person, and Sponsor reserves the right to seek damages and other remedies from any such person to the fullest extent permitted by law. No mechanically reproduced, illegible, incomplete, forged, software generated or other automated multiple entries will be accepted. Sponsor reserves the right to modify, extend, suspend, or terminate any Sweepstakes if it determines, in its sole discretion, that the Sweepstakes is technically impaired or corrupted or that fraud or technical problems, failures or malfunctions or other causes beyond Sponsor's control have destroyed or severely undermined or to any degree impaired the integrity, administration, security, proper play and/or feasibility of the Sweepstakes as contemplated herein. These Official Rules cannot be modified or amended in any way except in a written document issued by a duly authorized representative of Sponsor. The invalidity or unenforceability of any provision of these Official Rules shall not affect the validity or enforceability of any other provision. In the event that any provision is determined to be invalid or otherwise unenforceable or illegal, these Official Rules shall otherwise remain in effect and shall be construed in accordance with their terms as if the invalid or illegal provision were not contained herein.

PRIVACY: Except as provided in these Official Rules, information submitted in connection with each Sweepstakes will be treated in accordance with Sponsor's privacy policy and terms of use located at the Website.

GOVERNING LAW/JURISDICTION: ALL ISSUES AND QUESTIONS CONCERNING THE CONSTRUCTION, VALIDITY, INTERPRETATION AND ENFORCEABILITY OF THESE OFFICIAL RULES OR THE RIGHTS AND OBLIGATIONS OF ENTRANTS OR SPONSOR IN CONNECTION WITH THE SWEEPSTAKES SHALL BE GOVERNED BY AND CONSTRUED IN ACCORDANCE WITH THE INTERNAL LAWS OF THE STATE OF CALIFORNIA WITHOUT GIVING EFFECT TO ANY CHOICE OF LAW OF CONFLICT OF LAW RULES OR PROVISIONS THAT WOULD CAUSE THE APPLICATION OF ANY OTHER STATE'S LAWS.

WINNER'S LIST/OFFICIAL RULES: To obtain a copy of any legally-required winners list, send a self-addressed stamped envelope to The "Paramount Vantage Online Loyalty Program" Winners List, 5555 Melrose Avenue, Los Angeles, California 90038. All such requests must be received within six (6) weeks after the end of the applicable Sweepstakes drawing. These Official Rules will be posted on the Website.
